Ability to put all share certificates in one place electronically

Being able to electronically file all share certificates for my small companies
Carta can easily handle all of our all cap table management needs. By far the best feature is the Customer Support Team. They have friendly and informative staff that will answer most if not all you questions instantly through their live chat or by email. User interface is very intuitive and easy to navigate. Accessing data is fairly straight forward. Issuing option grants to employees is a breeze; fill out the information on a downloadable template and import it directly to Carta. Carta also offers 409a valuations.
Some reports that are created from Carta can be extremely large (over 20 MB's) so if your computer does not have enough memory, accessing the file will make it crash.
We no longer need to manually update and reconcile our cap table on a spreadsheet. Carta manages it all.
Easy to use, good way to track the progress, constant notifications
Nothing really in particular. Maybe it’s new name Carta is not as clear anymore and when they were transitioning there were some interruptions.
It is difficult for our employees to understand and manage their SAR and eshares helps a lot to have self service there.
Cap table management, IR functions. The employee-related capabilities are excellent.
No real downside, but the ability to run simulations is rife with errors. For example, the tool does not accurately reflect waterfalls under the conditions noted in the title (and I have confirmed this with Carta support). In addition, Carta should export, or at least display, the underlying assumptions and formulas when exporting reports - the inability to see "under the hood," per se, effectively requires customers to replicate the functionality in order to confirm results (which in our case was how we found the simulation errors). Granted, we will check your math in most cases, but confirming assumptions is tedious and needlessly time-consuming. In addition, without seeing the calculations, we are again left to build from the ground up to make more elaborate assumptions. Lastly, Carta would benefit from

Capdesk helps bring together all your share processes and makes managing shares super straightforward. If there are any issues, the support team is always really responsive.
There are some things to iron out, e.g. when someone leaves a company and their Docusign gets disconnected, however, when we experience that the support team were able to resolve within a day.
It helps brings our internal teams that deal with Shares together, and enables easy collaboration. It also helps should the employees the worth of their investments through their dashboard, which improves the employee experience.
I am a big fan of the clean interface to view and manage my stock options. Even for someone who is not tech savvy or well equipped with their stock options, Carta is a great tool to help ease people into a better understanding of what is available. Say no to uneccesarry paperwork and say yes to Carta ;)
I cannot think of much to dislike, I do not check Carta regularly, it works great in the background.

A common feature of equity agreements is a spousal consent form. Without the ability to gather notarized signatures in the platform, or initiate a mass document upload for documents signed outside of the tool, this creates manual work as the program administrator.

Stock options management
It's a one-stop shop and tidy solution for everything equity related.
Like any software (cloud or on-premise) constant tweaks and improvements can be made. I find the timing and workflow behind the share option exercise can be quite slow, cumbersome and potentially lead to unpaid share capital being issued. I don't believe that the share option calculation/reporting file works quite as it should or is as user-friendly as it could be either, and so there's room for improvement there.
An online shareholder register (rather than manual compilation), and filings for HMRC and Companies House with year-end returns etc. Is very useful for double checking and cross-referencing and pulling simple reports.
The equity tool is easy to use and provides complete and accurate information for reporting.
The total compensation application needs more work overall. User experience has been that better training could be provided to maximize the experience.
We use Carta as our system of record for cap tables. We also leverage Carta to understand compensation trends and compensation planning.

When I draft share, it is common for it NOT to save all the data I enter. For example, I put in the State of Residence for a draft share, but when the share gets created it does not appear there.
It gives us a place to get a 409A valuation so we can provide equity compensation to our team. It is also far easier to manage our stock ledger and certificates.

Unified shares, Equity grants and warrant management software for employees, lawyers and management. Facilitates ease of providing inputs to investors at all time and the time is a golden store of information
I find Carta to be very easy to use and saves me time and money. The 409A valuations are extremely helpful and and cost efficient. It saves from having an accounting firm do they review which can be thousands of dollars. I like how my law firm can also log in and use it as well. The upsides of using carta is that it is affordable and quick to learn.
Some of the pro features are a bit hidden and expensive. I sometimes can't find what I'm looking for quickly. There are placeholder emails which I'm not sure where they came from.
I'm trying to take on more of the "lawyer" work to save money and be more efficient.
Clean interface for issuing options, useful for cap table management
I also use the investor/fund platform, and that one has very limited functionality...cannot send distributions. Also, set up was a bit onerous, although the 409a process was also helpful.
I like using it for capital calls because it automatically generates clean documents and I like using it for board approvals in order to issue options. I've never tried using it to raise a round though.
Simplicity and the resources provided to better understand your options
Nothing in particular. I'm not sure if this already exists, but it's not often that I'd login, so setting notifications around vesting / other important dates would be helpful.
Managing stock options and providing visibility
I think the onboarding staff is great. We worked with Kimber and she could not have been more patient and helpful throughout the process.
The cap table format is a bit hard to digest depending on the type of report you are looking at and the linking within the exported reports could be better

It's simplifying the mystery around shares - I haven't exercised any yet but the "Exercise" button makes it seem like that would also be a very simple and straightforward process through Carta

It's obviously much better than having this data on an excel sheet. For the employees, it's a much better experience, as it allows them to see their shares and vesting period.
It's just not very intuitive. During and after tender offers, we faced some issues with the platform that the support team wasn't very proactive at helping with. They made some mistakes and refused to admit to them, which makes our job frustrating.
